Terms and Conditions of SkillHunters Services

1. Acceptance of Terms

By accessing or using the services provided by SkillHunters (hereinafter "we", "our" or "SkillHunters"), you agree to be bound by these Terms and Conditions (hereinafter the "Terms"). These Terms constitute a legally binding agreement between you ("Client", "User") and SkillHunters concerning the provision of our services.

If you do not agree to these Terms, you must not use our services.

2. Definitions

• Client: An individual or legal entity that engages SkillHunters for talent selection, recruitment, or staffing services.

• Talent: Independent professionals or contractors selected or proposed by SkillHunters.

• Services: The services offered by SkillHunters, including but not limited to search, selection, recruitment, staffing, and provision of independent professionals (Contractors).

3. Services Provided

SkillHunters provides recruitment, staffing, and specialized talent selection services. Our responsibilities include:

• Identifying and presenting qualified candidates for positions requested by the Client.

• Conducting assessments and background checks as necessary.

• Facilitating communication between the Client and the Talent.

The specific scope of services will be defined in the specific agreement made between SkillHunters and the Client.

4. Client Obligations

The Client agrees to:

• Provide complete and accurate information about hiring needs and job requirements.

• Comply with all applicable labor, tax, and privacy laws in the jurisdiction in which they operate.

• Inform SkillHunters of any changes to job requirements or work conditions during the hiring process.

5. SkillHunters Obligations

We commit to:

• Make every effort to present Talents that meet the Client's requested requirements.

• Conduct initial evaluations of Talent and ensure the agreed selection standards are met.

• Ensure the confidentiality of the information provided by the Client, in accordance with our Privacy Policy.

6. Selection and Hiring Process

SkillHunters will facilitate the selection and hiring process for Talent but will not be responsible for the final hiring decision. The Client will be solely responsible for evaluating the Talent and formalizing the hire if deemed appropriate.

7. Fees and Payment

The Client agrees to pay the fees for services provided by SkillHunters as stipulated in the service order or specific agreement between the parties. Fees will be subject to the following terms:

• Fees must be paid on the agreed date and in the agreed manner as outlined in the contract or invoice.

• SkillHunters reserves the right to apply interest on late payments in accordance with current regulations.

8. Limitation of Liability

SkillHunters will not be liable, under any circumstances, for:

• The conduct, actions, or omissions of Talents after they are hired by the Client.

• Loss of profits, revenue, or business opportunities resulting from the use of SkillHunters' services.

• Indirect, incidental, special, or punitive damages unless resulting from gross negligence or bad faith.

The total liability of SkillHunters in any case will not exceed the total amount of fees paid by the Client for the disputed services.

9. Confidentiality

Both parties agree that all information exchanged during the provision of services, including personal information of Talent, will be treated as confidential and not disclosed to third parties without prior written consent from the other party, except where such disclosure is required by law.

10. Intellectual Property

All content and information provided through SkillHunters services, including text, graphics, logos, images, and software, are the exclusive property of SkillHunters and are protected by applicable intellectual property laws.

11. Termination

Either party may terminate this agreement with written notice provided [30] days in advance unless otherwise specified in a specific contract. In the event of a breach of the Terms, SkillHunters may immediately suspend or terminate services.

12. Governing Law and Jurisdiction

This agreement will be governed by and interpreted in accordance with the laws of [applicable jurisdiction], without reference to conflict of law principles. Any dispute or claim arising from this agreement will be resolved exclusively in the competent courts of [location].

13. Modifications to the Terms

SkillHunters reserves the right to modify these Terms at any time. We will notify users of any material changes via our website or other appropriate means. Continued use of the services after notification of modifications will constitute acceptance of the revised Terms.
